Please read these terms carefully before using the Chatswala platform.

âš ī¸ Important: By accessing or using Chatswala's platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use our services.

📌 1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Customer," or "you") and Chatswala (operated by Ravi Kumar Gupta, UDYAM-MH-23-0392705, Shop No. 8, Shree Sadguru Krupa Heights, Gangapur Road, Nashik, Maharashtra 422007).

These Terms govern your use of our website (chatswala.com), web application, APIs, and all related services (collectively the "Platform").

By creating an account, you confirm that you are at least 18 years old and have the legal authority to enter into this agreement on behalf of yourself or your business entity.

👤 2. Account Registration

  • You must provide accurate, complete, and current information during registration
  • You are responsible for maintaining the confidentiality of your account credentials
  • You must notify us immediately of any unauthorised access to your account
  • One individual or business entity may maintain only one free trial account
  • Chatswala reserves the right to verify your business identity and registration documents
  • You must link only phone numbers that you legally own or have authority to use

đŸ’ģ 3. Platform License

Subject to your compliance with these Terms and timely payment of applicable fees, Chatswala grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your business purposes.

You may not:

  • Sublicence, sell, resell, or transfer the Platform without written permission
  • Reverse engineer, decompile, or extract source code from the Platform
  • Use the Platform to build a competing service
  • Remove or obscure any proprietary notices or branding

đŸ’Ŧ 4. WhatsApp Policy Compliance

As a WhatsApp Business API platform, you agree to comply at all times with:

  • Meta's WhatsApp Business Policy and Commerce Policy
  • India's Telecom Commercial Communications Customer Preference Regulations (TCCCP)
  • IT Act 2000 and all applicable Indian regulations
  • WhatsApp's messaging template guidelines — only approved templates may be used for outbound marketing messages
  • Opt-in requirements — you must have valid consent from recipients before sending promotional messages

Violation of Meta's policies may result in your WhatsApp Business Account being suspended or permanently banned. Chatswala is not liable for such actions taken by Meta.

đŸšĢ 5. Prohibited Activities

You must not use the Platform to:

  • Send spam, unsolicited bulk messages, or messages without valid opt-in consent
  • Distribute malware, phishing content, or fraudulent material
  • Promote illegal products or services under Indian law
  • Harass, abuse, or threaten any individual
  • Send content that is obscene, defamatory, or violates third-party rights
  • Scrape or harvest data from the Platform
  • Attempt to gain unauthorised access to our systems
  • Use automated bots to access the Platform outside of our API
  • Impersonate another person or business
  • Send messages relating to multi-level marketing or pyramid schemes

Violation of these prohibitions may result in immediate account termination without refund, and may be reported to appropriate authorities.

đŸ’ŗ 6. Payments & Billing

  • Subscription fees are billed monthly or annually in advance
  • All prices are in Indian Rupees (INR) and exclusive of GST (18%)
  • WhatsApp conversation charges are billed separately as per Meta's current rates
  • Failed payments may result in service suspension after 3 days' notice
  • Upgrades take effect immediately; downgrades at the next billing cycle
  • We reserve the right to change pricing with 30 days' advance notice
  • All payments are processed securely through Razorpay/PayU

ÂŠī¸ 7. Intellectual Property

The Chatswala name, logo, platform design, source code, and all associated intellectual property are owned exclusively by Chatswala and protected under Indian intellectual property laws.

Your Content: You retain ownership of all content (messages, media, contact data) that you create or upload. You grant Chatswala a limited licence to process this content solely to provide the Platform services.

Feedback: Any feedback, suggestions, or ideas you provide about the Platform may be used by Chatswala without obligation or compensation.

âš–ī¸ 8. Limitation of Liability

To the maximum extent permitted by Indian law:

  • Chatswala is not liable for any indirect, incidental, consequential, or punitive damages
  • Our total liability to you shall not exceed the amount paid by you in the preceding 3 months
  • We are not liable for WhatsApp/Meta service outages, message delivery failures, or API changes by Meta
  • We do not warrant that the Platform will be uninterrupted, error-free, or virus-free
  • We are not responsible for any business losses arising from spam complaints, account suspension by Meta, or regulatory actions

🔚 9. Termination

By You: You may cancel your account at any time from the dashboard. Cancellation takes effect at the end of the current billing period.

By Chatswala: We may suspend or terminate your account immediately without notice if you:

  • Violate these Terms or our Acceptable Use Policy
  • Fail to pay fees after notice
  • Cause reputational harm to Chatswala or Meta
  • Engage in fraudulent or illegal activity

Upon termination, your access will cease immediately. You may request a data export within 30 days before all data is permanently deleted.

đŸ›Ąī¸ 10. Indemnification

You agree to indemnify, defend, and hold harmless Chatswala, its officers, employees, and partners from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Platform in violation of these Terms
  • Your violation of any applicable law or third-party rights
  • Content you send through the Platform
  • Any claim by your customers or recipients regarding messages sent from your account

đŸ›ī¸ 11. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Nashik, Maharashtra, India.

Before initiating legal proceedings, both parties agree to attempt good-faith resolution through negotiation for 30 days. If unresolved, disputes shall be settled through arbitration as per the Arbitration & Conciliation Act, 1996, with Nashik as the seat of arbitration.
